Terms and conditions

Article 1. Who we are

1.1 KVK Uittreksel Aanvragen is a trade name of Ecrivus International V.O.F., established at Vliegveldweg 106, 6199 AD Maastricht-Airport, Netherlands and registered in the Dutch Business Register under number 14093828.

1.2 In these terms, "we", "us" and "our" mean Ecrivus International V.O.F., trading as KVK Uittreksel Aanvragen.

Article 2. What these terms cover

2.1 These terms apply to every order you place through kvkuittrekselaanvragen.nl and to every agreement arising from it.

2.2 Any deviation applies only if we have agreed it with you in writing.

2.3 We reject the applicability of your own purchasing conditions.

Article 3. What we do, and what we are not

3.1 We are an independent intermediary. We are not part of the Netherlands Chamber of Commerce and we have no partnership with it.

3.2 What you buy from us is our service: we place your order with the Chamber of Commerce, monitor its progress, send you an invoice and help you if something goes wrong.

3.3 The certified extract itself is produced, certified and delivered by the Chamber of Commerce. We do not draw up that document and we do not alter anything in it.

3.4 You can also order an extract directly from the Chamber of Commerce. On kvk.nl a digital certified extract costs €9.60 and a paper certified extract costs €19.20.

3.5 The Company Profile and the Company Report are products we compile ourselves. For the Company Profile we produce our own document based on public data from the Business Register. That document is not an official Chamber of Commerce document and carries no certification.

Article 4. Products and prices

4.1 Our prices include 21% Dutch VAT and apply per copy.

4.2 Our price includes the fee the Chamber of Commerce charges us. The difference between that fee and our price is the payment for our service.

4.3 The price shown on the site at the moment you order is the price that applies. We may change our prices, but not for orders already placed.

4.4 The certified extract is available in Dutch and in English. The Chamber of Commerce does not supply other languages. The language of our website says nothing about the language of the document.

Article 5. How the agreement is formed

5.1 You choose a company, one or more products and the language of the document, you provide your email address and you pay.

5.2 The agreement is formed at the moment your payment succeeds. You then receive a confirmation by email with your order number, your invoice and a link to the status page of your order.

5.3 A single order may contain several companies, several products and several copies. You pay once and receive one invoice.

5.4 We may refuse or refund an order if we have good reason to believe that the order is incorrect or that misuse is involved. We will tell you so by email.

Article 6. Payment

6.1 Payment is made in advance through our payment service provider Mollie B.V. Available methods include iDEAL, credit card, PayPal, Bancontact and bank transfer. Which methods you see depends on the language and country of your order.

6.2 You enter your payment details at Mollie. We never see those details. We see only whether the payment succeeded, which method was used and Mollie's transaction number.

6.3 We start the order with the Chamber of Commerce only after the payment is confirmed. With a bank transfer this can take a few working days.

Article 7. Delivery

7.1 The digital certified extract is sent by the Chamber of Commerce by email to the address you gave us. The document therefore comes directly from the Chamber of Commerce and not from us.

7.2 The paper certified extract is sent by the Chamber of Commerce by post to the address you gave us.

7.3 You receive the Company Profile and the Company Report from us, through a secure download link on the status page of your order.

7.4 We state an expected delivery time on the site and in the order. That time is an estimate and not a strict deadline. Actual delivery depends on the Chamber of Commerce and on postal delivery. Disruptions at the Chamber of Commerce may delay delivery.

7.5 On the status page of your order you can see, per line, where your order stands, together with the reference number the Chamber of Commerce has given it. The link to that page is valid for 90 days.

7.6 If the Chamber of Commerce does not deliver within a reasonable period, you may give us notice of default by email. We will resolve it or we will refund you.

Article 8. Your own details must be correct

8.1 You are responsible for the accuracy of the email address, the postal address and the chosen company, including the correct branch.

8.2 We ask you to enter your email address twice and we show you, before payment, the company, the branch, the product and the language you selected. Please check that screen.

8.3 If an extract has been delivered to an address you entered incorrectly, that is not a failure on our part.

8.4 If you report a typing error in your email address or postal address, we will try to have the document delivered to the correct address after all. If that is not possible, a new order is needed. For that we charge you only the fee of the Chamber of Commerce and not our own service payment.

Article 9. Right of withdrawal

9.1 If you are a consumer, a distance contract in principle gives you fourteen days to change your mind (Article 6:230o of the Dutch Civil Code).

9.2 Because you want us to handle your order immediately, we ask you before payment to request immediate delivery and to declare that you waive your right of withdrawal as soon as delivery has started. Without that declaration we cannot place the order straight away.

9.3 We record the moment you give that declaration and the IP address you give it from. The confirmation email repeats the text of the declaration.

9.4 The full arrangement, including the model form, is set out in our page on withdrawal.

Article 10. Cancellation and refunds

10.1 As long as we have not yet placed your order with the Chamber of Commerce, you may cancel it. Send us an email with your order number. We will then refund the full amount.

10.2 The status page of your order shows whether that moment has passed. If it says we have placed your order, cancellation is no longer possible.

10.3 If the Chamber of Commerce does not deliver the ordered document, we refund the full amount of that order line. This also applies if the Chamber of Commerce refuses delivery or makes it impossible.

10.4 The refund runs back through Mollie, to the payment method you used.

10.5 With an order containing several lines, we can refund per line.

Article 11. Invoices and VAT

11.1 You receive an invoice by email for every paid order.

11.2 If the total remains below € 100 including VAT, a simplified invoice is legally sufficient (Article 34d of the Dutch Turnover Tax Act 1968). It states the date, our name and details, the description of the service, the VAT amount and the total. Your own name and address need not appear on it.

11.3 If the total exceeds € 100 including VAT, a full invoice is required (Article 35a of the Dutch Turnover Tax Act 1968). In that case we ask you, before payment, for your Business Register number or for your name and address, and we put those on the invoice.

11.4 If you want an invoice in your company's name below € 100 as well, you can give us your Business Register number. We retrieve the corresponding details from the Business Register and show them for checking before they go on the invoice.

11.5 We charge 21% VAT on the full amount. The fee of the Chamber of Commerce is a purchase cost for us and not a disbursement.

Article 12. The content of the document

12.1 The content of the extract comes from the Business Register and reflects the data as registered at the moment of retrieval.

12.2 We are not responsible for the accuracy or completeness of that data. If it is incorrect, you change it at the Chamber of Commerce.

12.3 We do not assess whether the document you order is suitable for the purpose you have in mind. If a bank, notary or foreign authority asks for a particular document, check with that party which document they require.

12.4 We give no legal, tax or business advice.

Article 13. Liability

13.1 We carry out our service with care. We do not answer for the conduct of the Chamber of Commerce, of the postal service or of other parties beyond our influence.

13.2 Our liability is limited to the amount you paid for the order concerned.

13.3 We are not liable for consequential loss, including lost revenue, delay of a transaction and costs of third parties.

13.4 The limitations in this article do not apply in the event of intent or deliberate recklessness on our part, nor to the extent that mandatory consumer law does not permit them.

Article 14. Force majeure

14.1 If we cannot perform our obligations because of a circumstance beyond our control, we suspend performance for as long as that circumstance lasts.

14.2 This includes in any event a disruption or maintenance at the Chamber of Commerce, a disruption at our payment service provider, a failure of the internet or the power supply, and government measures.

14.3 If the force majeure lasts longer than thirty days, either party may end the agreement. We then refund what you paid for what has not yet been delivered.

Article 15. Personal data

15.1 How we handle your data is set out in our privacy statement.

15.2 For delivery we pass your email address to the Chamber of Commerce, and with a paper extract your postal address. Without those details the Chamber of Commerce cannot deliver to you.

Article 16. Intellectual property

16.1 The texts, design and layout of our website and of the Company Profile and the Company Report remain ours.

16.2 You may use the documents you order from us for your own purpose. Reselling them or publishing them as your own product is not permitted.

16.3 The certified extract is subject to the conditions of the Chamber of Commerce.

Article 17. Complaints

17.1 If you have a complaint, send it to info@kvkuittrekselaanvragen.nl with your order number.

17.2 We confirm your complaint within two working days and respond substantively within fourteen days. If we need more time, we will tell you within those fourteen days, with an indication of when you will receive an answer.

17.3 We are not affiliated with a disputes committee. If we cannot resolve the matter together, the route to the courts remains open. Article 18 states which court that is.

Article 18. Governing law and competent court

18.1 Dutch law applies to our agreements.

18.2 We submit disputes to the competent court in the district of Limburg, the Netherlands. If you are a consumer, you may, within one month after we invoke this provision, choose the court that is competent under the law.

18.3 If you are a consumer resident in another member state of the European Union, you retain the protection of the mandatory provisions of the law of your own country.

18.4 These terms were drawn up in Dutch and translated into English, German, Spanish and French. If a translation differs from the Dutch text, the Dutch text prevails.

Article 19. Changes to these terms

19.1 We may change these terms. The version that applies to your order is the one in force at the moment you ordered.

19.2 The version in force is always published on kvkuittrekselaanvragen.nl.
